Terms of Use

These Terms of Use ("Terms") govern your access to and use of the Hexasoft, Inc. website, software platforms, technology services, and related materials (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you should not access or use the Services.

You may use the Services only if you are able to form a legally binding contract under applicable law. If you use the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" include that organization.

Subject to these Terms, Hexasoft grants you a limited, non-exclusive, non-transferable, and revocable right to access and use the Services for lawful business purposes.

The Services may include, among others:

• Custom software development
• Artificial intelligence solutions
• Enterprise platforms and asset management software
• IT infrastructure services
• Cybersecurity services
• Managed IT services and technology consulting

Specific services may be subject to additional terms set out in a separate order form, statement of work, or written agreement.

Where the Services require an account, you are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

• Provide accurate and complete registration information
• Keep your credentials secure and do not share them
• Notify us promptly of any unauthorized access or security concern

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party right
• Gain unauthorized access to systems, networks, or data
• Introduce malware or interfere with the integrity or performance of the Services
• Reverse engineer, copy, or resell the Services except as permitted by law
• Misrepresent your identity or affiliation, or engage in fraudulent activity

The Services, including all software, content, designs, trademarks, and related intellectual property, are owned by Hexasoft or its licensors and are protected by applicable laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

You may not use Hexasoft's names, logos, or trademarks without prior written consent.

You retain ownership of the information, data, and content you provide through the Services ("User Content"). You grant Hexasoft a limited license to use, host, and process User Content solely to operate and support the Services.

You are responsible for your User Content and represent that you have the necessary rights to provide it and that it does not violate any law or third-party right.

The Services may integrate with or link to third-party products, services, or websites. Hexasoft does not control and is not responsible for the content, policies, or practices of third parties. Your use of third-party services is governed by their own terms.

The Services are provided on an "as available" basis. We may modify, suspend, or discontinue all or part of the Services, and may perform maintenance that temporarily affects availability. We will make reasonable efforts to limit disruption where practicable.

Where fees apply, they are set out in the applicable order form, subscription plan, or written agreement. Unless stated otherwise, fees are exclusive of taxes, which are your responsibility. Late or unpaid amounts may result in suspension of the relevant Services.

Access to general informational areas of the website is provided free of charge.

Each party may receive information that is confidential to the other. Each party agrees to protect the other's confidential information using reasonable measures and to use it only as necessary to provide or use the Services, except where disclosure is required by law.

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Services, you acknowledge the practices described in that policy.

Except as expressly stated in a written agreement, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law.

To the maximum extent permitted by applicable law, Hexasoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business, arising out of or related to the Services.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold Hexasoft harmless from claims, damages, and expenses arising from your misuse of the Services, your User Content, or your breach of these Terms, to the extent permitted by applicable law.

We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or to protect the security or integrity of the Services. Upon termination, your right to use the Services ends, while provisions that by their nature should survive will remain in effect.

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-law principles. The parties will first attempt to resolve any dispute in good faith. Where a dispute cannot be resolved informally, it will be submitted to the competent courts of the Republic of the Philippines, unless a separate written agreement provides otherwise.

We may update these Terms from time to time to reflect changes in our Services or legal obligations. When we make material changes, we will update the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
